1. Who we are & acceptance

The Services are operated by HYPER10N TECHNOLOGIES. These Terms form a binding agreement between HYPER10N TECHNOLOGIES and the business entity on whose behalf you act ("you", "Customer"). If you do not agree, do not use the Services. The person accepting these Terms represents that they are authorized to bind that business entity.

2. Eligibility (business use only)

The Services are offered exclusively to verified businesses and professionals for lawful business use. They are not intended for consumers, minors, or personal use. By using the Services you represent that:

3. The Service

NoFilter AI provides a private, unrestricted AI workspace and API: conversational AI without the blanket content refusals of consumer assistants, optional live web search, and analysis of documents and images you provide. The Services are provided on a business-to-business basis. We may add, modify, or discontinue features over time.

4. Access, accounts & verification

There is no self-serve activation. Access is granted only after we review and approve your request. As part of onboarding and on an ongoing basis, we may verify your business, including its registered name, website, jurisdiction and registration or VAT number, and we may require that payment originate from a bank account belonging to that same business. You are responsible for the security of your account and for all activity under it, and for the acts and omissions of your authorized users.

5. Acceptable use

We remove unnecessary content guardrails, not the law. You remain fully responsible for how you use the Services and their outputs. You agree not to use the Services:

Enforcement. A request that is unambiguously illegal under US or EU law results in a formal warning. A second warning results in suspension of the account. We may suspend or terminate immediately, without prior warning, where we reasonably believe conduct is seriously illegal, abusive, or a risk to others, to us, or to the Services.

6. Subscriptions, billing & commitment

7. Your content & our intellectual property

You retain all rights in the content, prompts, and files you submit ("Inputs") and, as between you and us, in the outputs generated for you ("Outputs"). You grant us a limited licence to process Inputs and Outputs solely to provide and secure the Services. We and our licensors retain all rights in the Services themselves, including software, models, interfaces, and branding. You may not copy, reverse engineer, or create derivative works of the Services except as permitted by law.

8. AI outputs

The Services use artificial intelligence. Outputs may be inaccurate, incomplete, or offensive, and can misstate facts. Outputs are not professional, legal, medical, financial, or security advice. You are responsible for reviewing and verifying Outputs before relying on or acting on them, and for ensuring your use of Outputs complies with applicable law. We do not warrant that Outputs are accurate or fit for any particular purpose.

9. Privacy & confidentiality

Our handling of personal data is described in our Privacy Policy. We treat your Inputs and Outputs as your confidential information, keep them within your workspace, and do not use them to train third-party foundation models. Each party will protect the other's confidential information with reasonable care.

10. Suspension & termination

You may stop using the Services at any time, subject to the minimum term. We may suspend or terminate access for breach of these Terms, non-payment, or as described in Acceptable Use. On termination, your right to use the Services ends; we may delete your workspace data after a reasonable period, subject to law. Provisions that by their nature should survive termination (including IP, disclaimers, liability, and governing law) survive.

11. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

13. Indemnification

You will defend, indemnify, and hold harmless HYPER10N TECHNOLOGIES from and against any claims, damages, and costs (including reasonable legal fees) arising from your Inputs, your Outputs, your use of the Services, or your breach of these Terms or of applicable law.

14. Changes to the Services and Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and provide reasonable notice through the Services. Continued use after changes take effect constitutes acceptance.

15. Governing law & disputes

These Terms are governed by [governing law: to be confirmed once the operating entity's jurisdiction is finalized], and the courts of [competent courts: to be confirmed] have exclusive jurisdiction, without prejudice to any mandatory rights you may have under local law.
